REFUND & CANCELLATION POLICY

This Refund & Cancellation Policy ("Policy") explains the cancellation and refund practices of Dracorion Software LLC ("Dracorion," "we," "us," or "our") for software development, web development, digital product development, consulting, design, maintenance, technical support, and other services provided by us.

This Policy should be read together with our Terms of Service and any applicable proposal, quotation, statement of work ("SOW"), service agreement, invoice, or other written agreement relating to a specific project.

Where a project-specific written agreement contains different refund or cancellation terms, the project-specific agreement will control to the extent of any conflict.

2. SERVICES COVERED BY THIS POLICY

This Policy may apply to payments made for services including, but not limited to:

  • Software Development;

  • Web Development;

  • Web Design;

  • Mobile App Development;

  • SaaS and Digital Product Development;

  • UI/UX Design;

  • IT Consulting;

  • API and System Integration;

  • E-commerce Solutions;

  • Graphic and Brand Design;

  • Website Maintenance;

  • Technical Support;

  • Custom digital solutions;

  • Other software, technology, design, consulting, or digital services agreed upon in writing.

The applicable cancellation and refund terms may vary depending on the nature, scope, stage, and payment structure of the project.

3. PAYMENT STRUCTURES

Depending on the project, payments may be structured as:

  • One-time project payments;

  • Upfront payments or deposits followed by a final payment;

  • Milestone or staged payments;

  • Hourly consulting or service payments;

  • Other payment arrangements agreed upon in writing.

The applicable payment schedule will generally be communicated before the project begins.

4. CANCELLATION BEFORE WORK BEGINS

If a customer requests cancellation before substantive work has begun, the customer may generally be eligible for a full refund provided that:

  • No meaningful project work has been completed;

  • No deliverables have been prepared or provided;

  • Dracorion has not incurred non-recoverable third-party expenses on the customer's behalf;

  • No hosting, server, software, licensing, API, infrastructure, or similar project costs have been incurred; and

  • No other non-recoverable project commitments have been made.

If these conditions are satisfied, Dracorion will generally issue a full refund of the applicable amount paid.

However, each request may be reviewed based on the specific circumstances of the project.

5. CANCELLATION AFTER WORK HAS BEGUN

Once project work has begun, a refund is not automatically guaranteed.

If a customer requests cancellation after work has started, Dracorion will review the request individually and may consider a full or partial refund where appropriate.

The review may consider:

  • Work already completed;

  • Time spent on the project;

  • Personnel and other resources allocated to the project;

  • Deliverables already provided;

  • Deliverables that have been prepared but not yet delivered;

  • Project stage and progress;

  • Hosting, server, software, licensing, API, cloud, infrastructure, or other third-party expenses;

  • Non-recoverable expenses already incurred;

  • Commitments made to third-party providers or contractors;

  • The reason for cancellation;

  • The customer's compliance with project requirements;

  • Whether the project is substantially complete; and

  • Other reasonable costs or obligations directly associated with the project.

Where appropriate, Dracorion may issue a partial refund after deducting reasonable amounts for work performed and non-refundable or non-recoverable costs.

6. COMPLETED OR SUBSTANTIALLY COMPLETED PROJECTS

Projects that have been completed or substantially completed will generally not qualify for a full refund.

However, Dracorion may review individual circumstances and may provide an appropriate partial refund or other reasonable resolution where warranted.

The availability and amount of any refund will depend on the specific circumstances of the project.

7. MILESTONE AND STAGED PAYMENTS

For projects using milestone or staged payments, each payment may correspond to a specific stage, deliverable, or portion of the agreed scope.

Once work associated with a milestone has been completed or substantially performed, the applicable payment may become non-refundable to the extent reasonably attributable to:

  • Work performed;

  • Time and resources spent;

  • Deliverables completed or prepared;

  • Third-party costs;

  • Other non-recoverable project expenses.

Unused amounts, if any, may be reviewed for refund depending on the circumstances.

Project-specific agreements may establish different milestone and cancellation terms.

8. UPFRONT PAYMENTS AND DEPOSITS

An upfront payment or deposit may be used to reserve project capacity, begin work, purchase necessary resources, or cover initial project expenses.

An upfront payment does not automatically mean that the entire amount is non-refundable.

If cancellation occurs before meaningful work begins and before non-recoverable costs are incurred, a full refund may generally be available.

If work has already begun or non-recoverable costs have been incurred, the refundable amount may be reduced based on the circumstances described in this Policy.

9. CLIENT-CAUSED DELAYS

Customers are responsible for providing the information, content, approvals, credentials, access, materials, feedback, and other resources reasonably necessary to complete a project.

If a customer causes significant delays, the project timeline may be extended accordingly.

Dracorion may also temporarily suspend project work until the required information, materials, approvals, or access are provided.

Client-caused delays do not automatically create a right to a refund.

If a project is delayed for an extended period due to the customer, Dracorion may review the project status, remaining scope, resources already committed, and any applicable costs before determining whether the project should continue, be suspended, or be terminated.

10. THIRD-PARTY COSTS

Certain projects may require third-party products or services, including:

  • Domain registrations;

  • Web hosting;

  • Cloud services;

  • Software licenses;

  • Premium plugins or tools;

  • APIs;

  • Application services;

  • App store fees;

  • Payment service providers;

  • Infrastructure services;

  • Other third-party products or services.

Where such costs are incurred specifically for a customer's project and are non-refundable or non-recoverable, they may be deducted from any applicable refund.

Third-party fees may also be subject to the refund policies of the applicable third-party provider.

11. DIGITAL PRODUCTS AND CUSTOM DELIVERABLES

Because many of our services involve custom software, designs, code, websites, digital products, configurations, or other work created specifically for a customer, refund eligibility may depend on the stage of production and the amount of work already performed.

Once customized digital work has been substantially created, delivered, or made available to the customer, a full refund may not be appropriate.

Any refund request will nevertheless be reviewed based on the applicable circumstances and this Policy.

12. FAILURE TO PROVIDE REQUIRED INFORMATION

If a customer fails to provide information, access, content, approvals, credentials, or other materials required to perform the project, Dracorion may pause or suspend work.

If the project cannot reasonably continue because the customer has not provided required materials for an extended period, Dracorion may terminate the project in accordance with the applicable agreement.

Termination under these circumstances does not automatically create a right to a full refund.

Amounts attributable to work already performed and non-recoverable costs may be retained.

13. REQUESTING A REFUND OR CANCELLATION

Customers who wish to cancel a project or request a refund should contact us as soon as reasonably possible.

  • Your full name;

  • Company or business name;

  • Project or order information;

  • Date of payment;

  • Amount paid;

  • Reason for the cancellation or refund request;

  • Any relevant project or transaction information.

We may request additional reasonable information to evaluate the request.

14. REFUND REVIEW PROCESS

Each refund request may be reviewed individually.

When reviewing a request, Dracorion may consider:

  1. Whether work has started;

  2. The amount of work completed;

  3. Time and resources already spent;

  4. Deliverables already provided or prepared;

  5. Project progress;

  6. Third-party expenses already incurred;

  7. Whether those expenses are recoverable;

  8. Whether the project is substantially complete;

  9. The customer's reason for cancellation;

  10. The terms of the applicable project agreement; and

  11. Other circumstances reasonably relevant to the request.

We aim to make refund decisions fairly and reasonably based on the actual circumstances of the project.

15. APPROVED REFUNDS

If a refund is approved, it will generally be issued to the original payment method where reasonably possible.

The time required for the refund to appear in the customer's account may depend on the payment provider, financial institution, or payment method used.

Dracorion is not responsible for delays caused by third-party payment providers or financial institutions after a refund has been initiated.

16. PAYMENT PROCESSOR FEES

Where permitted by applicable law and the terms of the applicable transaction, non-recoverable third-party payment processing fees may be considered when determining the amount of a refund.

We will not impose deductions that are prohibited by applicable law.

17. DISPUTES AND PAYMENT CHARGEBACKS

Before initiating a payment dispute or chargeback, customers are encouraged to contact us at:

We will make reasonable efforts to review and resolve legitimate payment, cancellation, or refund concerns directly.

Nothing in this section limits any rights that a customer may have under applicable law or the rules of the applicable payment provider.

18. NO AUTOMATIC REFUND FOR CHANGE OF MIND

A customer's change of mind after substantial project work has begun does not automatically entitle the customer to a full refund.

However, the customer may still contact us and request a refund review.

Each request will be evaluated according to the circumstances and the terms of this Policy and any applicable project agreement.

19. PROJECT-SPECIFIC TERMS

Certain projects may have additional or different cancellation and refund terms.

Where a proposal, quotation, SOW, service agreement, invoice, or other written project agreement contains specific refund or cancellation provisions, those provisions may control for that project.

Customers should review project-specific terms before making payment.

20. CHANGES TO THIS POLICY

We may update this Refund & Cancellation Policy from time to time to reflect changes in our services, payment methods, business practices, legal requirements, or other operational considerations.

When changes are made, we will update the "Last Updated" date at the top of this Policy.

The version applicable to a particular transaction will generally be the version in effect at the time the applicable transaction or agreement was entered into, unless otherwise required by law or agreed in writing.
